2. Eligibility

By using our services, you confirm that:

  • You have legal authority to enter into a binding contract

  • You are not prohibited from using our services under applicable laws

3. Client Responsibilities

To provide services effectively, you agree to:


  • Supply accurate and complete information

  • Grant necessary access to CRM systems, marketplace accounts, or analytics tools (when applicable)

  • Keep your login credentials secure

  • Comply with platform rules (Amazon, Etsy, eBay, etc.)

You are solely responsible for maintaining the security of your accounts.

4. Payments & Billing


  • Pricing will be communicated in your proposal or service agreement.

  • Payments must be made according to the agreed schedule.

  • Late or failed payments may result in service suspension.

  • All fees are non-refundable unless stated in our Refund Policy.

Any third-party costs (ads, marketplace fees, software subscriptions) are the responsibility of the client unless otherwise agreed.

5. Confidentiality

Both parties agree to maintain confidentiality regarding:


  • Business data

  • Marketplace account information

  • CRM and system access

  • Strategies, workflows, and technical implementations

Information will not be disclosed to third parties unless required by law or necessary to complete the service.

6. Intellectual Property

6.1. Client-Owned Materials

You retain ownership of:


  • Brand assets

  • Business data

  • CRM and sales funnel content

  • Marketplace inventory and listing information

6.2. Company-Owned Materials

Velyra Global retains ownership of:


  • Proprietary frameworks

  • Custom strategies

  • Internal tools

  • Templates and workflows created by us

Unless otherwise specified, deliverables may not be resold or redistributed without written permission.

7. Service Limitations

We strive for high performance but cannot guarantee:


  • Specific sales results on marketplaces

  • Algorithmic performance on Amazon, Etsy, or eBay

  • Increased conversion rates or revenue

  • Third-party system uptime or integrations

Marketplace and CRM performance depends on factors outside our control.

8. Termination

Either party may terminate services by providing written notice.

We may suspend or terminate services if:


  • Payments are overdue

  • You violate these Terms

  • You misuse system access or engage in harmful activity

Upon termination:


  • Access to deliverables may be revoked until outstanding invoices are paid

  • No refunds will be issued unless covered by the Refund Policy

9. Limitation of Liability

To the maximum extent permitted by law, Velyra Global is not liable for:


  • Loss of sales, revenue, or profits

  • Data loss

  • Downtime on marketplace or CRM platforms

  • Third-party system errors

  • Indirect, incidental, or consequential damages

Total liability shall not exceed the amount paid for the service in question.

10. Indemnification

You agree to indemnify and hold harmless Velyra Global from any claims, damages, or losses arising from:


  • Misuse of our services

  • Violations of marketplace or CRM platform rules

  • Inaccurate information you provide

  • Unauthorized access to your accounts

11. Third-Party Platforms

Our services may involve third-party integrations such as:


  • Amazon Seller Central

  • Etsy Shop Manager

  • eBay Seller Hub

  • CRM and automation tools

We are not responsible for their performance, policies, or changes to their systems.

12. Governing Law

These Terms are governed by the laws of your jurisdiction unless otherwise specified in a signed agreement.

13. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted with a new “Last Updated” date.

Continued use of our services after changes constitutes acceptance of the updated Terms.
